Nominations open for Friends 2024 Board of Directors

It is time to elect a new Board of Directors for the Friends of San Jose Family Camp volunteer organization for 2024.  The current active group is organizing an Annual General Meeting for Wednesday, August 16, 2023.  At the Annual General Meeting, the Board of Directors is elected.  The Board of Directors consists of nine elected positions: President, Vice President, Treasurer and Secretary and five Board Members at large.  According to the Bylaws, we need to stagger the Board of Directors in elections, therefore there will be different term limits for 2024.  Terms will begin January 1, 2024. 

The officers are President, Vice President, Secretary and Treasurer. Their terms for 2024 will be:  
- President and Secretary for 2 years 
- Vice President and Treasurer for 1 year   

The 5 Board Members at large terms will be: 2 members for a 1 year term and 3 members for a 2 year term. The Board Members at large responsibilities are determined by 
the Officers of the Board of Directors and are a voting member on the board.

We will need 30 days before elections in August to have the slate of nominations ready for the vote by members at the Annual General Meeting. 
You can nominate yourself for a position or if you get prior approval from another member, you can nominate that person. Remember, you must be a paid member and a member is good standing to vote. 

At the July 12, 2023 Board Meeting, the nominations will be presented and approved.  After the confirmation of the slate of nominated positions, an email will be sent to all listed members of the Friends of San Jose Family camp regardless of status. To vote, you need to be a member in good standing by having your dues paid up to date. A membership form is attached in this email for those who have yet to complete a membership form and pay their annual membership dues for 2023.  Once the membership form is completed and returned to FSJFC  at P. O. Box 8237 San Jose, CA. 95155 with payment of membership dues, that member will be considered in good standing and eligible to vote in the Board of Directors election at the Annual General Meeting scheduled for Wednesday, August 16, 2023.

Below are the responsibilities and duties of the Officers of the Board of Directors for your
consideration, if you are interested in nominating for any of these positions.

--- Officer Duties ---

The President
The President shall conduct all meetings of the Board of Directors. The President shall appoint committees and their Chairpersons, with the approval of the Board of Directors. The President shall be an Ex-Officio Member of all committees.

The Vice-President
The Vice-President, shall, in the event of absence, disability or death of the President, possess all the powers and perform all the duties of that office, until such time as the Board of Directors shall elect one of its members to fill the vacancy. The Vice-President shall perform such other duties as the President of the Board may designate. The Vice-President shall be the designated liaison with the City of San Jose.

The Secretary
The Secretary shall keep minutes of all meetings of the Organization and all meetings of the Board of Directors; shall notify all Directors of their election; shall sign, with the President all contracts and other instruments when so authorized by the Board of Directors and shall perform such other functions as may be incident to the office. The Secretary shall maintain the history of the minutes, contracts, instruments, By-Laws, Constitution, general procedures, and any documentation of historical interest.

The Treasurer
The Treasurer shall give a receipt for all monies which shall be deposited in a recognized bank in the name of Friends of San Jose Family Camp. All accounts shall be paid by check and shall bear two (2) signatures when the payment exceeds $1,000: that of the Treasurer and one of the following members of the Board of Directors: President, Vice-President, or Secretary. The receipt book and vouchers shall be produced when required by the Board of Directors, properly balanced according to the bank book or statement, whichever is current and up to date. The Treasurer will provide a quarterly financial report  that includes a summary of the membership status. Treasurer will provide an end-of-year financial report. Treasurer also shall be responsible for the preparation of any and all papers pursuant to the Articles of Incorporation and Tax Exemption status of this Organization for the Internal Revenue Service and the State of California Franchise Tax Board and the Office of the Attorney General. The Treasurer shall maintain the history of the financial, tax, and required reporting documents.
